By using Tampa Roots LLC payment processing services, accessing our website, or engaging with our business, you agree to be bound by these Terms of Service ("Agreement"). This Agreement constitutes a legally binding contract between you ("Merchant" or "Customer") and Tampa Roots LLC ("Company," "we," "us," or "our").

Acceptance of Terms

Your use of our services constitutes acceptance of these terms. If you do not agree to these terms, you must not use our services. We reserve the right to modify these terms at any time, with changes effective upon posting to our website.

Payment Processing Services

Services Provided

Tampa Roots LLC provides the following payment processing services:

  • Credit and debit card processing (Visa, Mastercard, American Express, Discover)
  • Electronic check (ACH) processing and verification
  • Point-of-sale (POS) system integration and support
  • Payment gateway services for e-commerce transactions
  • Mobile payment solutions and contactless processing
  • Recurring billing and subscription management
  • Fraud prevention and risk management tools
  • Chargeback management and dispute resolution assistance
  • PCI compliance consulting and security services
  • Reporting, analytics, and business intelligence tools

Service Availability

We strive to maintain 99.9% uptime for our payment processing services. However, services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will provide advance notice of scheduled maintenance when possible.

Merchant Requirements and Eligibility

Business Requirements

To qualify for our services, merchants must:

  • Operate a legitimate business with proper licensing and registration
  • Provide accurate business and financial information
  • Maintain acceptable credit and processing history
  • Comply with all applicable laws and regulations
  • Meet our underwriting and risk management standards
  • Provide required documentation for identity and business verification

Prohibited Business Types

We do not provide services to businesses in the following categories:

  • Adult entertainment or sexually-oriented materials
  • Illegal drugs, controlled substances, or drug paraphernalia
  • Gambling, sports betting, or casino-related activities
  • Cryptocurrency trading or digital currency exchanges
  • Multi-level marketing (MLM) or pyramid schemes
  • High-risk investments or get-rich-quick schemes
  • Weapons, ammunition, or military equipment
  • Tobacco products or e-cigarettes
  • Businesses operating without proper licenses

Fees, Pricing, and Payment Terms

Processing Fees

Processing fees are determined based on your business type, transaction volume, average ticket size, and risk profile. Fees are clearly outlined in your merchant agreement and may include:

  • Transaction processing fees (percentage and/or per-transaction)
  • Monthly account maintenance fees
  • Equipment rental or purchase fees
  • Gateway fees for online processing
  • PCI compliance and security fees
  • Chargeback and dispute resolution fees
  • Early termination fees (if applicable)

Fee Collection

Fees are automatically deducted from your processing deposits or charged to your designated bank account. You authorize us to collect all fees and charges associated with your account.

Settlement and Deposits

Processed transactions are typically settled within 1-2 business days, subject to our risk management policies. We reserve the right to hold funds for risk mitigation, compliance requirements, or pending dispute resolution.

Merchant Responsibilities and Obligations

Transaction Processing

  • Process only legitimate transactions for goods or services actually provided
  • Obtain proper authorization for all transactions
  • Provide clear transaction descriptors and customer receipts
  • Honor refund and return policies as stated to customers
  • Respond promptly to customer service inquiries and disputes
  • Maintain accurate transaction records for at least 2 years

Security and Compliance

  • Maintain PCI DSS compliance for card data security
  • Implement appropriate data security measures
  • Report security breaches or suspected fraud immediately
  • Use only approved payment processing equipment and software
  • Comply with all card network rules and regulations
  • Keep business and contact information current

Business Operations

  • Operate your business in accordance with applicable laws
  • Maintain required business licenses and permits
  • Provide accurate business and financial information
  • Notify us of material changes to your business
  • Cooperate with our monitoring and audit procedures

Risk Management and Account Monitoring

Monitoring Activities

We continuously monitor merchant accounts for fraud, compliance, and risk management. Our monitoring may include transaction pattern analysis, chargeback ratio tracking, and compliance verification.

Account Actions

Based on our risk assessment, we may:

  • Place temporary holds on funds pending investigation
  • Require additional documentation or information
  • Implement enhanced monitoring procedures
  • Adjust processing limits or settlement terms
  • Require reserves or security deposits
  • Suspend or terminate processing services

Chargebacks and Dispute Resolution

Chargeback Process

When a customer disputes a transaction, the funds are automatically debited from your account pending resolution. You have the right to dispute chargebacks by providing compelling evidence within the specified timeframe.

Chargeback Liability

You are liable for all chargebacks, associated fees, and any resulting financial losses. Excessive chargeback ratios may result in additional fees, processing restrictions, or account termination.

Account Termination

Termination by Merchant

You may terminate this agreement with 30 days written notice. You remain liable for all fees, chargebacks, and obligations incurred prior to termination.

Termination by Company

We may terminate this agreement immediately for:

  • Violation of these terms or merchant agreement
  • Excessive chargebacks or fraud activity
  • Non-payment of fees or charges
  • Business closure or bankruptcy
  • Regulatory or legal requirements
  • Risk management considerations

Limitations of Liability and Disclaimers

Service Disclaimers

Our services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, complete security, or error-free operations. You use our services at your own risk.

Liability Limitations

Our liability for any damages is limited to the fees paid by you in the month preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

Governing Law and Dispute Resolution

Jurisdiction

This agreement is governed by the laws of the State of Florida. Any legal disputes will be resolved in the courts of Hillsborough County, Florida.

Arbitration

For disputes involving amounts under $10,000, both parties agree to binding arbitration through the American Arbitration Association.
